1. Who may use the Site

The Site is intended for business users and for individuals acting on behalf of a business. By using the Site, you represent that you are at least the age of majority in your jurisdiction and are able to enter into a binding agreement.

2. The Site is informational

The Site provides information about StructureConnect, Structure360, and related products and services. Content on the Site is provided for general informational purposes and may change without notice. We do not guarantee that any product, feature, pricing, or availability described on the Site will be offered or remain unchanged.

3. Intellectual property

The Site and its contents, including text, graphics, logos, images, layout, and software, are owned by or licensed to Full Circle Solutions and are protected by intellectual property laws. "StructureConnect" and associated logos are trademarks of Full Circle Solutions, whether registered or unregistered.

We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Site for its intended purpose. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or exploit any part of the Site without our prior written permission, except as allowed by these Terms or applicable law.

4. Acceptable use

When using the Site, you agree not to:

• Use the Site in any way that violates applicable law or regulation.
• Attempt to gain unauthorized access to the Site, its servers, or connected systems.
• Interfere with or disrupt the Site, including by introducing malware or overloading infrastructure.
• Scrape, harvest, or collect information from the Site by automated means without our permission.
• Use the Site to transmit unsolicited communications or for any fraudulent or harmful purpose.
• Reverse engineer or attempt to derive source code from any software made available through the Site, except to the extent this restriction is prohibited by law.

5. Submissions and demo requests

If you submit information through the Site, such as a demo request, contact form, or other communication, you represent that the information is accurate and that you are authorized to provide it. We may use submissions to respond to you and to operate and improve our products and services, subject to our Privacy Policy. Do not submit confidential information you do not want us to receive through the Site.

6. Third-party links

The Site may contain links to third-party websites or resources. We provide these links for convenience only and do not endorse and are not responsible for the content, products, or practices of any third party. Your use of third-party sites is at your own risk and subject to their terms.

7. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect and handle information. By using the Site, you acknowledge that Privacy Policy.

8. Disclaimer of warranties

The Site is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that information on the Site is accurate, complete, or current.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. Nothing in these Terms excludes or limits rights that cannot be excluded or limited under applicable law, including consumer guarantees under Australian law where they apply.

9. Limitation of liability

To the maximum extent permitted by law, Full Circle Solutions and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Site, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for all claims relating to the Site will not exceed one hundred United States dollars (USD $100).

Nothing in this section limits liability that cannot be limited under applicable law.

10. Indemnification

You agree to indemnify and hold harmless Full Circle Solutions and its officers, employees, and agents from any claims, damages, liabilities, and expenses, including reasonable legal fees, arising out of your misuse of the Site or your breach of these Terms.

11. Changes to the Site and to these Terms

We may modify, suspend, or discontinue any part of the Site at any time. We may also update these Terms from time to time. When we make changes, we will update the "Last updated" date. Your continued use of the Site after changes take effect means you accept the updated Terms.

12. Governing law, arbitration, and disputes

Governing law

These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict of laws rules.

Please read this section carefully. It affects your legal rights.

Informal resolution first

Before starting arbitration, you and Full Circle Solutions agree to try to resolve any dispute informally. You agree to contact us at info@fullcirclesoft.com and allow at least thirty (30) days to resolve the matter before beginning arbitration.

Binding arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site that is not resolved informally will be resolved by binding arbitration on an individual basis, rather than in court, except as stated below. The arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules then in effect. The arbitration will take place in Maricopa County, Arizona, or by remote means where available. Judgment on the award may be entered in any court with jurisdiction. The arbitrator will decide all claims in accordance with the governing law stated above.

Class action waiver

You and Full Circle Solutions agree that each may bring claims against the other only on an individual basis, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding.

Exceptions

Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

Opt-out

You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending written notice to info@fullcirclesoft.com that includes your name and a statement that you decline arbitration. Opting out does not affect any other part of these Terms.

Cross-border note

Nothing in this section limits any right you have under mandatory consumer or business protection laws in your jurisdiction, including in Canada and Australia, that cannot be waived by agreement.

13. Application terms are separate

Use of the StructureConnect application, including any accounts, subscriptions, or services accessed through structureconnect.app, is governed by a separate application or subscription agreement presented and accepted at sign-up. These Terms do not grant any right to use the application.
